Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Cobitx Technologies, a sole proprietorship owned by Syed Waqas Asim (“Cobitx”, “we”, “us”), the business that builds and operates e-Rice, the rice trading, milling and accounting software available at erice.pk (the “Service”).

By ticking the agreement box when you create an account, or by paying for a subscription, you accept these Terms together with our Refund Policy and Privacy Policy. If you accept on behalf of a business, you confirm that you are authorised to bind it, and “you” means that business.

1.The Service

e-Rice is cloud software (software as a service) for rice brokers, traders, mills and limited companies. It covers purchase, sale, stock, milling and production, accounts and reports. It is delivered online through your browser or the installable app; nothing physical is shipped. The modules you can use depend on the plan you subscribe to, as described on our pricing section.

2.Your account

  • You must be at least 18 years old and use the Service for a genuine business purpose.
  • The information you give when you sign up must be true and kept up to date.
  • Every new account confirms its email address, and we review each request before its workspace goes live. We may decline a request, for example if the details cannot be verified.
  • Keep your password private. You are responsible for everything done under your login and under any sub-users you create, and you must tell us at once if you suspect unauthorised access.

3.Plans, prices and payment

e-Rice Premium is priced per user per month, for every level. One user is one person with their own sign-in, and the workspace allows as many users as you pay for. Before you order, the order form shows the number of users and the monthly total, and you agree to that exact amount. Subscriptions are paid monthly in advance; there is no annual plan. Users added later are charged at the same rate.

There are two price lists, chosen by the country of your business:

  • Businesses in Pakistan: a price per user per month that depends on the business level you choose — Broker PKR 2,000, Trader PKR 3,000, Small Company PKR 5,000, Private / Public Limited PKR 8,000 — with no limit on the number of users. If you change level, the new level’s price applies from the next month you pay for. Payment is by bank transfer (IBFT or Raast) into our account in Pakistan, or by debit or credit card through Safepay. The Pakistan price is only for businesses based in Pakistan paying from a Pakistani bank account or card; we may ask for your CNIC or NTN, and where it does not apply the international price is charged.
  • Businesses outside Pakistan: a price per user per month by business level — Broker USD 120, Trader USD 150, Small Company USD 200, Private / Public Limited USD 500 — paid by card through Paddle. Payments are always charged in US dollars; if your card is in another currency, your bank converts the amount and any conversion fee is between you and your bank. Online orders are for 1 to 25 users; larger teams (Enterprise) are agreed in a written quotation, which then sets their price and payment terms.

Taxes. All prices are exclusive of taxes. Any sales tax on services, including provincial sales tax, that applies to your subscription is added to the bill. If you are required by law to withhold income tax or any other tax from a payment to us, you bear that tax: you pay it in addition to the bill, so that the full amount of the bill reaches us, and you send us the withholding certificate or payment receipt.

Bank transfers in Pakistan. Write the order code we give you in the transfer and give us the transaction id your bank shows, on the order form or under Settings, Billing. A payment counts as made when we have found it in our account, usually within one working day. Bank charges on your side, if any, are yours.

Card payments in Pakistan through Safepay. Card payments in PKR are processed by Safepay, a payment gateway in Pakistan, on its own secure page; we never see or store your card number. Your bank may ask you to confirm a card payment with a one-time password. You may pay by card for one or more months at a time, or turn on auto-renew, described in section 5. The amount charged is the bill we show you before you pay; the gateway’s fee is ours, not yours. The charge appears on your statement under the name Safepay or Cobitx Technologies.

Card payments through Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you pay by card, Paddle’s buyer terms also apply to that purchase, Paddle adds any sales tax or VAT due in your country, and the charge usually appears on your statement under the name PADDLE.NET.

4.Activation and delivery

There is no free trial. Your workspace is activated as soon as your first payment is confirmed, and from that moment the Service is delivered to you in full. By paying, you ask us to start providing the Service immediately. Refunds are available as set out in section 8 and our Refund Policy.

5.Renewal and cancellation

  • A subscription paid by card renews automatically at the end of each billing period, at the price then in force, until you cancel it.
  • You can cancel at any time by emailing info@cobitx.com from your account email, or through the link in your Paddle receipt. Cancellation stops the next renewal; you keep access until the end of the period already paid for. Apart from the cases in the Refund Policy, the remainder of a period is not pro-rated.
  • A subscription paid by bank transfer in Pakistan, or by a one-time card payment, does not renew by itself: you pay each month in advance, before the end of the month already paid for. We remind you before it ends. To stop, simply do not pay the next month, or tell us.

Auto-renew by card in Pakistan. Auto-renew is off unless you turn it on by ticking the box that says so, on the order form or under Settings, Billing. When you turn it on, you authorise us, through Safepay, to charge the monthly bill shown to you to the card you enter, at once and then on the same date every month, until you turn it off. Safepay keeps the card for this purpose and emails you a receipt for each charge. You can turn auto-renew off at any time under Settings, Billing, or by emailing info@cobitx.com from your account email; it stops the next charge, and you keep access until the end of the month already paid for. If the number of users or the price changes, we ask you to turn auto-renew on again for the new amount rather than charging a different amount without your agreement. If an automatic charge fails, section 7 applies.

6.Price changes

We may change our prices. We will tell you by email at least 30 days before a new price applies to your next renewal, so you have time to cancel if you do not wish to continue.

7.Late or failed payment

If a renewal payment fails or an invoice is not paid on time, the workspace enters a short grace period. If payment is still not made after it, the workspace may be suspended until the account is brought up to date. Your data is handled as described in section 10.

8.Refunds

Your first payment carries a 14-day money-back guarantee: ask within 14 days, for any reason, and it is refunded in full. A later payment is refunded when you ask within 14 days and a listed feature does not work and cannot be put right, or it was an automatic renewal you did not mean to make and have not used. Billing errors are always refunded. Card payments made through Paddle can be refunded through paddle.net or by asking us. The full rules are in our Refund Policy.

9.Payment disputes

Every payment for the Service is made by you or with your authority, for a digital service that is delivered as soon as it is activated. If you think a charge is wrong, or a listed feature is not working, please contact us and use the Refund Policy first — we correct billing errors promptly, and a refund reaches you faster than a bank dispute.

When you accept these Terms we record the date and time, your IP address, your browser and the version of each policy you accepted. If a payment is disputed, we will give that record, your account and sign-in activity and our correspondence to Paddle or Safepay, the banks and the card networks as evidence that the payment was authorised and the Service delivered. We may suspend the account while the dispute is open.

Nothing in this section limits any right you have under the law or your card issuer’s rules.

10.Your data

  • The business records you enter — parties, purchases, sales, stock, vouchers and ledgers — belong to you.
  • You allow us to store and process them only to provide, support and secure the Service. We do not sell them and do not use them for advertising.
  • While your subscription is active you can print or download your reports at any time.
  • When a subscription ends, the data is kept for 30 days so you can export it, and is then deleted from our live systems, apart from records the law requires us to keep. Backup copies expire on their normal cycle.
  • How we handle personal information is explained in our Privacy Policy.

11.Figures, tax and your responsibility

e-Rice calculates ledgers, stock values, withholding tax, sales tax and other figures from the entries you make and the settings you choose. It is a tool, not tax, legal or accounting advice. You remain responsible for the accuracy of your entries, for checking figures before relying on them, and for your own tax returns, filings and statutory books.

12.Acceptable use

You agree not to:

  • share your login with anyone outside your business, or resell or sublicense the Service;
  • try to reach another workspace’s data, probe or bypass security, or overload the Service;
  • copy, decompile or reverse engineer the software, or upload malicious code;
  • use the Service for anything unlawful, including fraud, tax evasion or money laundering;
  • enter personal data about others that you have no right to process.

13.Availability and changes to the Service

We work to keep the Service available around the clock but cannot promise it will never be interrupted, for example during maintenance or a provider outage. We improve the Service continually and may change or retire features. If we remove a core feature of your plan during a period you have already paid for, you may cancel and receive a refund for the unused part of that period.

14.Ownership of the software

The software, its design and the e-Rice name and logo belong to Cobitx. While your subscription is active we give you a limited, non-exclusive, non-transferable right to use the Service for your own business. If you send us suggestions, we may use them freely.

15.Disclaimer

To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind beyond those set out in these Terms.

16.Limitation of liability

To the extent the law allows, Cobitx is not liable for indirect, incidental or consequential loss, or for loss of profit, revenue, business or data. Our total liability arising from the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

17.Suspension and termination

You may stop using the Service at any time. We may suspend or close an account for non-payment, a serious or repeated breach of these Terms, fraud, or a security risk, giving notice where it is reasonable to do so. Sections 9, 10, 11, 14, 15, 16 and 19 continue to apply after an account ends.

18.Changes to these Terms

We may update these Terms. The current version and its date are always shown at the top of this page. For a material change we will tell you by email or inside the app at least 14 days before it takes effect; if you do not agree, you may cancel before then.

19.Governing law and disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan. If a disagreement arises, please write to us first and both sides will try in good faith to settle it within 30 days. If that fails, it will be decided by the courts at Lahore, Punjab.

20.General

These Terms, the Refund Policy, the Privacy Policy and any written order or quotation we issue to you form the whole agreement between us. You may not transfer your account without our written consent. If any part of these Terms is found unenforceable, the rest remains in force. Notices to you are sent to your account email. The English version of these Terms is the one that applies.
